<h2>Article 1 – Definitions</h2> <p>In These General Terms And Conditions, The Following Terms Are Used In The Following Meanings, Unless Explicitly Stated Otherwise:</p> <ul> <li><strong>Coolblue:</strong> The Private Company With Limited Liability Coolblue B.V., Established In Rotterdam, Chamber Of Commerce Number 24411526, And Its Legal Successors Under Universal Title;</li> <li><strong>Consumer:</strong> The Natural Person Who Is Not Acting In The Exercise Of A Profession Or Business;</li> <li><strong>Agreement:</strong> The Purchase Agreement Concluded Between Coolblue And The Customer;</li> <li><strong>Customer:</strong> The Consumer Or Legal Entity Who Purchases Products From Coolblue;</li> <li><strong>Legal Entity:</strong> The Natural Person Acting In The Exercise Of A Profession Or Business, Or The Legal Entity;</li> <li><strong>Product:</strong> The Goods And/or Services Offered By Coolblue.</li> </ul> <h2>Article 2 – Applicability</h2> <ol> <li>These General Terms And Conditions Apply To Every Offer Made By Coolblue And To Every Agreement Concluded Between Coolblue And The Customer.</li> <li>Before The Agreement Is Concluded, The Customer Will Be Provided With These General Terms And Conditions. If This Is Not Reasonably Possible, Coolblue Will Indicate, Before The Agreement Is Concluded, That The General Terms And Conditions Can Be Viewed By The Customer At Coolblue's Premises Or Can Be Sent To The Customer Free Of Charge As Soon As Possible.</li> <li>If The Agreement Is Concluded Electronically, The Text Of These General Terms And Conditions Will Be Made Available To The Customer Electronically In Such A Way That It Can Be Easily Stored By The Customer On A Durable Data Carrier.</li> <li>If, In Addition To These General Terms And Conditions, Specific Product Or Service Conditions Also Apply, The Second And Third Paragraphs Apply By Analogy And, In The Event Of Conflicting Conditions, The Customer Can Always Invoke The Applicable Provision That Is Most Favorable To Him.</li> <li>If One Or More Provisions Of These General Terms And Conditions Are At Any Time Wholly Or Partially Void Or Annulled, The Agreement And These General Terms And Conditions Will Otherwise Remain In Force And The Relevant Provision Will Be Replaced By A Provision That Approximates The Purport Of The Original Provision As Closely As Possible.</li> <li>Situations Not Regulated In These General Terms And Conditions Must Be Assessed In The Spirit Of These General Terms And Conditions.</li> <li>Uncertainty About The Interpretation Of One Or More Provisions Of These General Terms And Conditions Must Be Interpreted In The Spirit Of These General Terms And Conditions.</li> </ol> <h2>Article 3 – The Offer</h2> <ol> <li>If An Offer Has A Limited Period Of Validity Or Is Subject To Conditions, This Will Be Explicitly Stated In The Offer.</li> <li>The Offer Is Without Obligation. Obvious Mistakes Or Errors In The Offer Do Not Bind Coolblue.</li> <li>All Images, Specifications, And Data In The Offer Are Indicative And Cannot Give Rise To Compensation Or Dissolution Of The Agreement.</li> <li>An Offer Does Not Automatically Apply To Repeat Orders.</li> </ol> <h2>Article 4 – The Agreement</h2> <ol> <li>The Agreement Is Concluded, Subject To The Provisions Of Paragraph 4, At The Moment Of Acceptance By The Customer Of The Offer And Compliance With The Conditions Set Therein.</li> <li>If The Customer Has Accepted The Offer Electronically, Coolblue Will Immediately Confirm Receipt Of The Acceptance Of The Offer Electronically. As Long As The Receipt Of This Acceptance Has Not Been Confirmed, The Customer Can Dissolve The Agreement.</li> <li>If The Agreement Is Concluded Electronically, Coolblue Will Take Appropriate Technical And Organizational Measures To Secure The Electronic Transfer Of Data And Ensure A Secure Web Environment. If The Customer Pays Electronically, Coolblue Will Take Appropriate Security Measures.</li> <li>Coolblue Can – Within Legal Frameworks – Inform Itself Whether The Customer Can Meet His Payment Obligations, As Well As Of All Those Facts And Factors That Are Important For A Responsible Conclusion Of The Agreement. If, On The Basis Of This Investigation, Coolblue Has Good Reasons Not To Enter Into The Agreement, It Is Entitled To Refuse An Order Or Request, Stating Reasons, Or To Attach Special Conditions To The Execution.</li> <li>Coolblue Will Send The Following Information To The Customer, In Writing Or In Such A Way That It Can Be Stored By The Customer On An Accessible Durable Data Carrier, No Later Than Upon Delivery Of The Product: <ul> <li>the Visiting Address Of Coolblue's Establishment Where The Customer Can Go With Complaints;</li> <li>the Conditions Under Which And The Manner In Which The Customer Can Exercise The Right Of Withdrawal, Or A Clear Statement Regarding The Exclusion Of The Right Of Withdrawal;</li> <li>the Information About Guarantees And Existing After-sales Service;</li> <li>the Price Including All Taxes Of The Product; The Delivery Costs And The Method Of Payment, Delivery Or Execution Of The Agreement;</li> <li>the Offer For A Cooling-off Period Or The Duration Of The Agreement;</li> <li>if Applicable, The Duration Of The Agreement.</li> </ul> </li> <li>If The Customer Has Accepted An Offer Electronically, Coolblue May Request The Customer To Accept The General Terms And Conditions Electronically. The Agreement Can Be Concluded Electronically By Coolblue And The Customer.</li> </ol> <h2>Article 5 – Right Of Withdrawal</h2> <ol> <li>The Customer Can Dissolve An Agreement Relating To The Purchase Of A Product During A Cooling-off Period Of 14 Days Without Giving Reasons. Coolblue May Ask The Customer About The Reason For The Dissolution, But The Customer Is Not Obliged To State His Reason(s).</li> <li>The Cooling-off Period Referred To In Paragraph 1 Starts On The Day After The Customer, Or A Third Party Designated By The Customer In Advance, Who Is Not The Carrier, Has Received The Product, Or: <ul> <li>if The Customer Has Ordered Several Products In The Same Order: The Day On Which The Customer, Or A Third Party Designated By Him, Received The Last Product. Coolblue May, Provided It Has Clearly Informed The Customer About This Prior To The Ordering Process, Refuse An Order For Several Products With Different Delivery Times.</li> <li>if The Delivery Of A Product Consists Of Several Shipments Or Parts: The Day On Which The Customer, Or A Third Party Designated By Him, Received The Last Shipment Or The Last Part;</li> <li>for Agreements For Regular Delivery Of Products During A Certain Period: The Day On Which The Customer, Or A Third Party Designated By Him, Received The First Product.</li> </ul> </li> <li>The Customer Can Exercise The Right Of Withdrawal By Submitting The Model Form For Withdrawal (appendix I Of These General Terms And Conditions) Or By Making It Clear In Another Unambiguous Manner To Coolblue, Within The Cooling-off Period, That He Dissolves The Agreement.</li> <li>If The Customer Makes Use Of The Right Of Withdrawal, He Will Return The Product Or Hand It Over To (a Representative Of) Coolblue As Soon As Possible, But No Later Than 14 Days After The Notification As Referred To In Paragraph 3. This Does Not Apply If Coolblue Offers To Collect The Product Itself. The Customer Has Observed The Return Period If He Returns The Product Before The Expiry Of The 14-day Period.</li> <li>The Customer Bears The Direct Costs Of Returning The Product. If Coolblue Has Not Stated That The Customer Must Bear These Costs Or If Coolblue Indicates That It Will Bear The Costs Itself, The Customer Does Not Have To Bear The Costs Of Returning The Product.</li> <li>If The Customer Withdraws From The Agreement, Coolblue Will Refund All Payments Received From The Customer, Including Any Delivery Costs, But With The Exclusion Of Any Additional Costs Resulting From The Customer's Choice For A Method Of Delivery Other Than The Cheapest Standard Delivery Offered By Coolblue, Without Delay But No Later Than 14 Days After The Day On Which Coolblue Receives The Withdrawal Notification. Unless Coolblue Offers To Collect The Product Itself, Coolblue May Wait With The Refund Until It Has Received The Product Or Until The Customer Demonstrates That He Has Returned The Product, Whichever Is Earlier.</li> <li>The Customer Must Handle The Product And The Packaging With Care During The Cooling-off Period. He May Only Unpack Or Use The Product To The Extent Necessary To Assess The Nature, Characteristics, And Functioning Of The Product. The Basic Principle Here Is That The Customer May Only Handle And Inspect The Product As He Would Be Allowed To Do In A Store.</li> <li>The Customer Is Liable For Any Depreciation Of The Product That Is The Result Of A Way Of Handling The Product That Goes Beyond What Is Permitted In Paragraph 7.</li> <li>Coolblue May Exclude The Customer From The Right Of Withdrawal For Products As Described In Paragraphs 10 And 11. The Exclusion Of The Right Of Withdrawal Only Applies If Coolblue Has Clearly Stated This In The Offer, At Least In Good Time Before The Conclusion Of The Agreement.</li> <li>Exclusion Of The Right Of Withdrawal Is Possible For: <ul> <li>Products Or Services Whose Price Depends On Fluctuations In The Financial Market Over Which Coolblue Has No Influence And Which May Occur Within The Withdrawal Period;</li> <li>Agreements Concluded During A Public Auction. A Public Auction Is Understood To Mean A Sales Method Whereby Products Are Offered By Coolblue To The Customer Who Is Present In Person Or Who Is Given The Opportunity To Be Present In Person At The Auction, Under The Direction Of An Auctioneer, And Where The Successful Bidder Is Obliged To Purchase The Products;</li> <li>service Agreements, After Full Performance Of The Service, But Only If: <ul> <li>the Performance Has Begun With The Express Prior Consent Of The Customer; And</li> <li>the Customer Has Declared That He Loses His Right Of Withdrawal Once Coolblue Has Fully Performed The Agreement;</li> </ul> </li> <li>package Travel Agreements As Referred To In Article 7:500 Of The Dutch Civil Code And Passenger Transport Agreements;</li> <li>agreements For The Provision Of Accommodation, If A Specific Date Or Period Of Performance Is Provided For In The Agreement And Other Than For Residential Purposes, Goods Transport, Car Rental, And Catering;</li> <li>agreements Relating To Leisure Activities, If A Specific Date Or Period Of Performance Is Provided For In The Agreement;</li> <li>Products Manufactured According To The Customer's Specifications, Which Are Not Prefabricated And Which Are Manufactured On The Basis Of An Individual Choice Or Decision Of The Customer, Or Which Are Clearly Intended For A Specific Person;</li> <li>Products That Spoil Quickly Or Have A Limited Shelf Life;</li> <li>sealed Products That Are Not Suitable For Return For Reasons Of Health Protection Or Hygiene And Whose Seal Has Been Broken After Delivery;</li> <li>Products That Are Irrevocably Mixed With Other Products After Delivery Due To Their Nature;</li> <li>alcoholic Beverages Whose Price Was Agreed Upon At The Time Of Conclusion Of The Agreement, But Whose Delivery Can Only Take Place After 30 Days, And Whose Actual Value Depends On Fluctuations In The Market Over Which Coolblue Has No Influence;</li> <li>sealed Audio, Video Recordings, And Computer Software Whose Seal Has Been Broken After Delivery;</li> <li>newspapers, Periodicals, Or Magazines, With The Exception Of Subscriptions To Them;</li> <li>the Supply Of Digital Content Other Than On A Tangible Medium, But Only If: <ul> <li>the Performance Has Begun With The Express Prior Consent Of The Customer; And</li> <li>the Customer Has Declared That He Thereby Loses His Right Of Withdrawal.</li> </ul> </li> </ul> </li> </ol> <h2>Article 6 – Costs In Case Of Withdrawal</h2> <ol> <li>If The Customer Exercises His Right Of Withdrawal, He Will Bear No More Than The Costs Of Returning The Product.</li> <li>If The Customer Has Paid An Amount, Coolblue Will Refund This Amount As Soon As Possible, But No Later Than 14 Days After The Withdrawal. Refund Will Be Made Using The Same Payment Method Used By The Customer, Unless The Customer Expressly Agrees To A Different Method.</li> <li>In The Event Of Damage To The Product Due To Careless Handling By The Customer, The Customer Is Liable For Any Depreciation Of The Product.</li> <li>The Customer Cannot Be Held Liable For Depreciation Of The Product If Coolblue Has Not Provided All Legally Required Information About The Right Of Withdrawal Before Or At The Conclusion Of The Agreement.</li> </ol> <h2>Article 7 – The Price</h2> <ol> <li>During The Period Of Validity Indicated In The Offer, The Prices Of The Products Offered Will Not Be Increased, Except For Price Changes Due To Changes In VAT Rates.</li> <li>Contrary To The Previous Paragraph, Coolblue May Offer Products Whose Prices Are Subject To Fluctuations In The Financial Market And Over Which Coolblue Has No Influence, With Variable Prices. This Susceptibility To Fluctuations And The Fact That Any Prices Quoted Are Target Prices Will Be Stated In The Offer.</li> <li>Price Increases Within 3 Months After The Conclusion Of The Agreement Are Only Permitted If Coolblue Has Stipulated This In The Offer And These Are The Result Of Statutory Regulations Or Provisions.</li> <li>Price Increases From 3 Months After The Conclusion Of The Agreement Are Only Permitted If Coolblue Has Stipulated This And: <ul> <li>these Are The Result Of Statutory Regulations Or Provisions; Or</li> <li>the Customer Has The Authority To Dissolve The Agreement On The Day On Which The Price Increase Takes Effect.</li> </ul> </li> <li>All Prices Are In Euros, Unless Stated Otherwise, And Include VAT And Excluding Other Taxes Such As, For Example, Disposal Fees, Unless Stated Otherwise.</li> <li>All Prices Are Subject To Printing And Typographical Errors. No Liability Is Accepted For The Consequences Of Printing And Typographical Errors.</li> </ol> <h2>Article 8 – Conformity And Warranty</h2> <ol> <li>Coolblue Guarantees That The Products Comply With The Agreement, The Specifications Stated In The Offer, The Reasonable Requirements Of Reliability And/or Usability, And The Legal Provisions And/or Government Regulations Existing On The Date Of The Conclusion Of The Agreement. If Agreed, Coolblue Also Guarantees That The Product Is Suitable For Other Than Normal Use.</li> <li>A Warranty Offered By Coolblue, Its Supplier, Manufacturer, Or Importer Does Not Affect The Legal Rights And Claims That The Customer Can Assert Against Coolblue Under The Agreement.</li> <li>If The Delivered Product Does Not Comply With The Agreement, The Customer Must Inform Coolblue Within A Reasonable Time After Discovery Of The Defect.</li> <li>If Coolblue Deems The Complaint To Be Correct, It Will Repair, Replace, Or Refund The Purchased Product In Consultation With The Customer. The Maximum Compensation Is, In Any Case, No More Than The Amount Invoiced For The Product.</li> <li>The Warranty Period Corresponds To The Manufacturer's Warranty Period, Unless The Legal Warranty Period Is Longer. The Notice Period Is No More Than Three Months If The Agreement Extends To The Regular, But Less Than Once A Month, Delivery Of Newspapers, Periodicals, And Magazines.</li> <li>An Agreement With A Definite Period For The Regular Delivery Of Newspapers, Periodicals, And Magazines (trial Or Introductory Subscription) Is Not Tacitly Continued And Ends Automatically After The Trial Or Introductory Period.</li> <li>If An Agreement Has A Duration Of More Than One Year, The Customer May Cancel The Agreement At Any Time After One Year With A Notice Period Of No More Than One Month, Unless The Reasonableness And Fairness Oppose Cancellation Before The End Of The Agreed Term.</li> </ol> <h2>Article 11 – Payment</h2> <ol> <li>Unless Otherwise Agreed, The Customer Must Pay The Amounts Due Immediately Upon Delivery. Coolblue May Require The Customer To Pay An Advance Payment Of No More Than 50% Of The Purchase Price.</li> <li>If The Customer Fails To Pay On Time, After Being Reminded By Coolblue Of The Late Payment And After Coolblue Has Granted The Customer A Period Of 14 Days To Still Make The Payment, After The Expiry Of This 14-day Period, The Customer Owes The Statutory Interest On The Amount Still Owed And Coolblue Is Entitled To Charge The Extrajudicial Collection Costs Incurred. These Collection Costs Amount To A Maximum Of: 15% On Outstanding Amounts Up To € 2,500; 10% On The Next € 2,500; 5% On The Next € 5,000; And 1% On The Next € 190,000, With A Minimum Of € 40. Coolblue May Deviate From These Amounts And Percentages In Favor Of The Customer.</li> </ol> <h2>Article 12 – Complaints Procedure</h2> <ol> <li>Coolblue Has A Sufficiently Publicized Complaints Procedure And Handles The Complaint In Accordance With This Complaints Procedure.</li> <li>Complaints About The Execution Of The Agreement Must Be Submitted To Coolblue Fully And Clearly Described Within A Reasonable Time After The Customer Has Discovered The Defects.</li> <li>Complaints Submitted To Coolblue Will Be Answered Within A Period Of 14 Days From The Date Of Receipt. If A Complaint Requires A Foreseeable Longer Processing Time, Coolblue Will Respond Within The 14-day Period With A Confirmation Of Receipt And An Indication Of When The Customer Can Expect A More Detailed Answer.</li> <li>If The Complaint Cannot Be Resolved By Mutual Agreement, A Dispute Arises That Is Subject To The Dispute Resolution Procedure.</li> <li>In The Event Of Complaints, The Customer Must In Any Case Give Coolblue The Opportunity To Investigate The Complaint And, If Necessary, Resolve It.
